Welcome to Sherlocks.ai, an AI-powered Site Reliability Engineering platform operated by Holmes Systems Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website at sherlocks.ai and our AI SRE services (collectively, the "Platform").
By accessing our Platform, creating an account, or using our services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of our Platform.

You agree to use our Platform in accordance with all applicable laws and regulations. You will not:
- Attempt to gain unauthorized access to our systems, other user accounts, or connected infrastructure
- Use the Platform to monitor, analyze, or interact with systems you do not own or lack permission to access
- Engage in any activity that could harm, disable, or impair our Platform or other users' experience
- Use automated tools to extract, scrape, or harvest data from our Platform without express permission
- Reverse engineer, decompile, or attempt to derive the source code of our AI models or proprietary technology
3.3 Prohibited Activities
The following activities are strictly prohibited:
- Violating any applicable laws, regulations, or third-party rights
- Transmitting malicious code, viruses, or other harmful software
- Interfering with the security or proper functioning of the Platform
- Using the Platform for competitive intelligence gathering against us
- Attempting to circumvent any usage limitations or access controls

The Platform, including all software, algorithms, artificial intelligence models, user interfaces, and related technology, is owned by Holmes Systems Inc. and protected by intellectual property laws. This includes:
- Our proprietary AI models and machine learning algorithms
- The Sherlocks.ai brand, trademarks, and service marks
- All software code, documentation, and technical specifications
- User interface designs and platform functionality
5.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Platform solely for your internal business purposes in accordance with these Terms. This license does not include any right to:
- Sublicense, sell, or distribute our Platform or any part thereof
- Create derivative works based on our technology
- Use our trademarks or branding without explicit written permission
- Access our Platform for the benefit of competitors or to develop competing services
5.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about our Platform, you grant us an unrestricted, perpetual license to use, modify, and incorporate such feedback without compensation or attribution.

- WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
- WARRANTIES REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY OF THE PLATFORM
- WARRANTIES THAT THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS
9.2 AI and Machine Learning Limitations
You acknowledge that our AI-powered services:
- May produce results that are incomplete, inaccurate, or require human review
- Should not be relied upon as the sole basis for critical business decisions
- Are continuously evolving and may change behavior over time
- May have limitations in novel or edge-case scenarios
9.3 No Professional Advice
Our Platform provides technological tools and insights but does not constitute professional advice. You should consult with qualified professionals for specific technical or business decisions.
10. Limitation of Liability
10.1 Damages Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLMES SYSTEMS INC. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION
- DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
10.2 Liability Cap
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- $1,000 USD, OR
- THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM
10.3 Essential Terms
You acknowledge that these liability limitations are essential elements of our agreement and that we would not provide the Platform without these limitations.
11. Indemnification
You agree to indemnify, defend, and hold harmless Holmes Systems Inc. and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform in violation of these Terms
- Your violation of any applicable laws or third-party rights
- Any content or data you provide to the Platform
- Your negligent or wrongful conduct
12. Termination
12.1 Termination Rights
Either party may terminate these Terms:
- At any time with or without cause (subject to notice requirements in your service agreement)
- Immediately if the other party materially breaches these Terms
- Immediately if required by law or legal process
12.2 Effect of Termination
Upon termination:
- Your access to the Platform will cease immediately
- We may delete your account and associated data (subject to our data retention policies)
- Provisions regarding liability limitation, indemnification, and dispute resolution survive termination
- You remain liable for any outstanding fees or obligations
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
13.2 Dispute Resolution Process
Before initiating formal legal proceedings, you agree to attempt resolution through:
- Direct Negotiation: Contact us at legal@sherlocks.ai to discuss the dispute
- Mediation: If direct negotiation fails, participate in good faith mediation
13.3 Arbitration
If mediation is unsuccessful, any dispute shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted:
- By a single arbitrator selected according to AAA rules
- In San Francisco, California, or virtually by mutual agreement
- In English language
- With each party bearing their own costs unless the arbitrator determines otherwise
13.4 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.
13.5 Exceptions
Nothing in this section prevents either party from seeking emergency injunctive relief in court to protect intellectual property rights or prevent irreparable harm.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the complete agreement between you and Holmes Systems Inc. regarding the subject matter herein.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
14.3 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction, including to affiliates or in connection with a merger, acquisition, or sale of assets.
14.4 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
14.5 Force Majeure
Neither party will be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, or infrastructure failures.
14.6 Relationship
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Holmes Systems Inc.
